• Our total liability, whether in contract, tort, or otherwise, is capped at the total fees you paid in the preceding 12 months.
  
  

9. Indemnification

You agree to defend, indemnify, and hold harmless Numanic and its affiliates against any claims, damages, or costs arising from:

10. Confidentiality

Both parties agree to maintain confidentiality of all non-public, proprietary information disclosed during the engagement, unless legally compelled to disclose.

11. Termination
